Terms of Service

These terms govern your use of Grape Dawn's website, services and the gdwa lead management dashboard. Please read them carefully.

1. Acceptance of terms

These Terms of Service ("Terms") are an agreement between you and Grape Dawn("Grape Dawn", "we", "us" or "our"). By using grapedawn.tech, engaging us for services, approving a quotation or using gdwa, you agree to these Terms.

If you accept these Terms on behalf of an organisation, you confirm that you are authorised to bind that organisation.

2. Our services

Grape Dawn provides custom software, web and mobile application development, cloud and integration services, and gdwa, a dashboard for managing leads and customer conversations.

The deliverables, timelines and fees for a particular engagement are set out in the proposal or statement of work agreed with you. Where that document conflicts with these Terms, the agreed document prevails.

3. Accounts

Access to gdwa is provided through accounts created by your organisation's administrator. You are responsible for keeping your sign-in details confidential and for all activity under your account. Tell us promptly if you believe an account has been used without authorisation.

4. Acceptable use

You agree not to:

  • use our services for any unlawful, misleading or harmful purpose;
  • send unsolicited, deceptive or abusive communications through our services;
  • attempt to gain unauthorised access to our systems or to another customer's data;
  • interfere with the security or operation of our services;
  • infringe the rights of any third party.

5. Messaging and WhatsApp

gdwa sends and receives messages through the WhatsApp Business Platform provided by Meta. If you use gdwa to message your customers, you agree to:

  • comply with the WhatsApp Business Messaging Policy and all other applicable Meta terms;
  • message only people who have given their consent to be contacted by you on WhatsApp;
  • honour every request to stop receiving messages, without delay;
  • use information obtained through messaging only to communicate with the person concerned.

Message delivery depends on Meta and on network operators. We do not guarantee that every message will be delivered.

6. Client obligations

To enable us to deliver our services, you agree to:

  • provide timely information, decisions and access needed for the work;
  • ensure that content and materials you supply do not infringe third-party rights;
  • comply with the terms of any third-party service integrated into your application.

7. Quotations and payment

  • Quotations remain valid for the period stated in them, ordinarily 30 days.
  • Fees are invoiced according to the payment schedule in the agreed proposal and are payable by the due date shown.
  • Where payment is more than 15 business days overdue, we may suspend work or services until the account is settled.

8. Intellectual property

On full payment of the agreed fees, ownership of the custom software we create specifically for you transfers to you. Data held in systems we build for you remains yours.

Open-source components remain subject to their own licences. We retain ownership of gdwa, of our pre-existing tools and know-how, and of the Grape Dawn name and marks.

9. Warranties

We warrant that custom software delivered by us will substantially conform to its agreed specification for the warranty period stated in the statement of work, being not less than 30 days from handover.

Except as stated above, our services are provided "as is". Third-party services, including hosting providers and Meta, are governed by their own terms, and we are not responsible for interruptions caused by them.

10. Limitation of liability

To the fullest extent permitted by law, Grape Dawn is not liable for indirect, incidental, special or consequential loss, including loss of profit, revenue or data.

Our total liability in connection with an engagement is limited to the fees we have received under the statement of work that gave rise to the claim.

11. Termination

Either party may terminate an engagement by written notice if the other party commits a material breach and does not remedy it within 14 days of being notified.

On termination, you will pay for work completed up to the termination date and we will deliver the work product completed up to that date. We may suspend or close an account that is used in breach of these Terms.

12. Governing law

These Terms are governed by the laws of India. The courts at Kolhapur, Maharashtra have exclusive jurisdiction over any dispute arising from them.

13. Changes to these terms

We may revise these Terms from time to time. The date at the top of this page shows when they were last updated. Your continued use of our services after a change takes effect means you accept the revised Terms.
